• "Funding" — any financial product offered by Lenders, including but not limited to merchant cash advances, term loans, lines of credit, equipment financing, invoice factoring, and other financing options.

3. Nature of Our Services

3.1 Intermediary Role

We operate solely as an intermediary that connects Businesses seeking funding with Lenders who may provide such funding. We do not provide loans, advances, or any form of funding directly. We are not a lender, broker, or financial institution.

3.2 Information Service

Our Platform provides information about various funding options and uses the information provided by Businesses to match them with potential Lenders. All funding decisions are made solely by the Lenders according to their own criteria. We make no guarantee that any Business will obtain funding through our Platform.

3.3 No Financial Advice

The information and tools provided on our Platform are for informational purposes only and should not be construed as financial, legal, or tax advice. We strongly recommend consulting with qualified professionals regarding your specific situation.

3.4 No Endorsement

Our listing of any Lender on the Platform does not constitute an endorsement or recommendation of their funding products. We make no warranty regarding the accuracy of information provided by Lenders.

4. Fees and Commissions

4.1 No Direct Fees to Businesses

Businesses are not directly charged for using our Platform to search for and apply for funding options.

4.2 Referral Fees and Commissions

We may receive commissions, referral fees, or other compensation from Lenders for successful funding transactions facilitated through our Platform. These fees vary based on the type of funding, the amount funded, and the arrangement with each Lender.

4.3 Disclosure of Commissions

By using our Platform, you acknowledge that we may receive such commissions and fees, which may influence the presentation, order, or visibility of funding options shown to you.

4.4 Lender Fees

Lenders may charge various fees associated with their funding products, including origination fees, processing fees, and early termination fees. These fees are determined solely by the Lenders. You are responsible for reviewing all fees disclosed by Lenders before accepting any funding offer.

5. User Registration and Account Security

5.1 Account Creation

To access certain features of our Platform, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to keep it up to date.

5.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use or security breach.

5.3 Account Eligibility

You represent that you are at least 18 years of age and have the legal capacity to enter into binding contracts. If creating an account on behalf of a business, you represent that you have authority to bind that entity.

OUR PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT YOU WILL RECEIVE FUNDING OR THAT ANY SPECIFIC TERMS WILL BE OFFERED BY LENDERS. ALL FUNDING DECISIONS ARE MADE SOLELY BY THE LENDERS.

8.4 Accuracy of Information

WHILE WE STRIVE TO PROVIDE ACCURATE INFORMATION, WE MAKE NO WARRANTY REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT AVAILABLE THROUGH OUR PLATFORM.

9. Limitation of Liability

IN NO EVENT SHALL PEZZULA LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, RESULTING FROM:

• Your access to or use of, or inability to access or use, the Platform
• Any conduct or content of any third party on the Platform
• Any content obtained from the Platform
• Unauthorized access, use, or alteration of your transmissions or content
• Any funding arrangement you enter into with a Lender found through our Platform

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OUR PLATFORM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATIONS OF LIABILITY. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify, defend, and hold harmless Pezzula LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or fees arising from:

• Your use of or access to the Platform
• Your violation of these Terms
• Your violation of any rights of another
• Your conduct in connection with the Platform
• Any funding arrangements or transactions with Lenders

11. Modifications to Terms and Services

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Platform after revisions become effective, you agree to be bound by the revised terms.

We may also, without prior notice, change the Services; add or remove features; stop providing the Services; or create usage limits for the Platform.
